These terms are an agreement between you and Mikoriza Network Ltd (company number 17203147), the company that runs Would be nice at wouldbenice.co. By creating an account or using the service you agree to them. If you do not agree, please do not use Would be nice.

The service#

Would be nice lets a community owner open a public board where people suggest ideas, vote for them and see what happens next. Owners can review ideas before they appear, merge duplicates, explain decisions and invite moderators.

Votes show support. They do not oblige an owner to build an idea, and they are not an election or a survey with a representative result. The owner of a board decides what happens to the ideas on it.

We may improve, change or remove features. If a change would seriously reduce what a paid plan offers, we will tell you in advance.

Your account#

  • You sign in with a link we send to your email address. There are no passwords. Keep your mailbox secure: anyone who can open that email can sign in as you.
  • You must be at least 16 years old to use Would be nice.
  • Give us an email address that you control. One account belongs to one person.
  • You are responsible for what happens under your account. Tell us at support@wouldbenice.co if you think someone else has access to it.

Acceptable use#

Do not use Would be nice to:

  • post anything unlawful, threatening, hateful, harassing or sexually explicit, or anything that infringes someone else's rights;
  • spam people, or post the same thing repeatedly to draw attention;
  • manipulate votes, for example by voting with several accounts or by asking others to do so with accounts that are not theirs;
  • pretend to be another person or organisation;
  • collect other people's data from the service, scrape it at scale, or use the email addresses shared with you for anything the people who shared them did not agree to;
  • get around rate limits, moderation, a block or any other safeguard;
  • probe, test or attack the service or its users, or interfere with how it works, unless we have agreed in writing that you may.

Board owners and moderators can hide content and block participants on their boards. We can do the same across the service when these terms are broken.

Your content#

You own what you post. We only use it to run Would be nice.

  • You keep the rights to what you post (ideas, comments, board texts, and an account's logo and cover image). Content is plain text, except the logo and cover image an account owner may upload. Do not post or upload anything you do not have the right to share.
  • You give us a worldwide, non-exclusive, royalty-free licence to store, display and send your content as part of running Would be nice, for as long as it exists on the service. The licence is only for operating the service for you and the people who use your board.
  • Ideas and comments on a public board can be read by anyone who can open that board, and by search engines unless the account is private. Your username and avatar are shown with them; your email address is not.
  • Content you post stays on the board after you delete your account. It is then shown without your name. The privacy policy explains what is removed and what is kept.

Boards and their owners#

  • A board belongs to the person whose account owns it. The owner is responsible for the board, its rules and how it is moderated, and for the choices they make about ideas, statuses and explanations.
  • If you think a decision on a board is unfair, contact the board first. If something is illegal or breaks these terms, tell us.
  • Would be nice is not a party to the relationship between a board owner and the people who take part. We do not check owners' promises.
  • You can share your email address with the owner of one board, for example to vote on an idea that asks for it. Only the owner can see it, and you can stop sharing at any time. An owner who receives an email address may use it only to run that board and to follow up on what it was shared for. They must not sell it or use it for unrelated marketing, and they must follow data protection law for what they receive.

Plans and billing#

  • Would be nice has a free plan and paid plans. What each plan includes, and its price, is shown on the pricing section of the website and again at checkout before you pay.
  • Paid plans are sold to you by Link (Sold through Link, LLC), the reseller our payment provider Stripe uses as merchant of record. Link takes the payment, charges any sales tax or VAT, sends your receipts and invoices, and answers questions about payments. Plans renew automatically for the same period until you cancel.
  • You can cancel at any time from your billing page. Cancelling stops future charges and your plan continues until the end of the period you have paid for. We do not refund a period that has already started, except where the law gives you a right to a refund or Link refunds a payment under its own terms.
  • We may change prices for future periods. We will tell you at least 30 days before a new price applies to you, and you can cancel before it does.
  • If a payment fails, we give you a grace period of 14 days. When a plan ends, your account moves to the free plan. Nothing is deleted: boards beyond the free plan's limits are archived and stay readable, and features the free plan does not include stop until you choose a paid plan again.
  • Prices exclude taxes. Any tax is added at checkout before you pay.
  • If you are a consumer in the UK, you can cancel a new paid subscription within 14 days. Because the service starts straight away, we may keep an amount for the days you used.

Export and deletion#

  • Board owners can export their board's ideas, comments and votes as CSV files at any time.
  • You can delete your account from your settings (here is how). Deleting a board or an account that owns boards removes everything on it at once, and there is no way to recover it. Export first if you want a copy.
  • The privacy policy describes exactly what is removed and what is kept after a deletion.

Ending your use#

You may stop using Would be nice at any time. We may suspend or close an account, or remove content, if you break these terms, if the law requires it, or if your use puts the service or other people at risk. When we can, we will tell you why and give you a chance to respond. While an account is suspended its pages are not public and nothing on it can change, but its owner can still sign in, export its boards and manage billing, and its paid plan stops renewing; it does not resume by itself if the suspension is lifted. A person we suspend cannot sign in, and their votes are removed. If we close a paid account without a breach on your part, we will refund the unused part of the period you paid for.

Disclaimers and limits on our liability#

  • Would be nice is provided "as is". We work to keep it available and correct, but we do not promise that it will be uninterrupted or free of errors.
  • We are not responsible for content posted by users or for decisions that board owners make.
  • Nothing in these terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, for fraud, or for any rights you have as a consumer.
  • Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability to you for anything connected with the service is limited to the greater of what you paid us in the twelve months before the event and 100 pounds sterling.

Changes to these terms#

We may change these terms, for example when the service changes or the law does. We will post the new version here with its date, and for material changes we will also email you or show a notice in the service. If you keep using Would be nice after a change takes effect, you accept the new terms. If you do not, you can close your account.

Governing law#

These terms are governed by the law of England and Wales. The courts of England and Wales can hear any dispute, except that if you are a consumer you may also bring a claim in the courts of the country where you live, and you keep the protection of the mandatory consumer laws there.
